These Terms and Conditions of Use and Clinical Service Agreement (“Terms of Use” or “Agreement”) constitute a legally binding contract between you (“visitor,” “user,” “patient,” “prospective patient,” or “you”) and the Practice. This Agreement governs your physical and digital access to, and use of, the Site, its educational content, the booking mechanisms, communication forms, and the general terms of clinical service engagement.

2. Clinical Scope, Specialization, and General Disclosures

The Practice is specialized, single-specialty clinical facility focused exclusively on the delivery of office-based, minimally invasive, no-needle, no-scalpel vasectomy procedures.

While Dr. Thulasi Shanmukanathan is a board-certified family physician with extensive training in general primary medicine, this Practice does not provide general primary care, comprehensive urological management for non-vasectomy conditions (such as kidney stones, prostate pathology, erectile dysfunction, or urinary tract infections), or ongoing long-term medical management. All clinical services rendered are strictly bounded by the pre-procedural, intra-procedural, and immediate post-procedural care related to the vasectomy itself.

2.2 Permanent and Irreversible Nature of Vasectomy

By reading this Site and considering our services, you are explicitly informed that a vasectomy is a highly effective, permanent method of male contraception. It is designed and intended to be irreversible.

While microsurgical vasectomy reversal procedures exist, they are highly complex, exceedingly expensive, typically not covered by commercial health insurance, and have no guarantee of clinical success.

Therefore, you should only seek clinical treatment from the Practice if you and your partner (if applicable) are entirely and absolutely certain that you do not want to biological father any children in the future, under any foreseeable or unforeseeable life circumstances.

2.3 Delayed Sterility and Essential Contraceptive Warning

IMPORTANT CLINICAL COMPLIANCE RULE: You are hereby notified that a vasectomy does not provide immediate contraceptive protection or immediate sterility. Active, viable, fertilizing sperm remain upstream in your reproductive tract (specifically within the seminal vesicles and vas deferens) immediately following the completion of the procedure.

  • You must continue to use an alternative, highly reliable method of contraception (such as condoms, oral contraceptive pills, or intrauterine devices) during all sexual intercourse following your vasectomy.
  • You must continue this alternative birth control until you have submitted your post-procedural semen sample at approximately twelve (12) weeks post-procedure, and our clinic has officially analyzed the sample and issued a formal, written clinical clearance confirming the complete, absolute absence of viable sperm (azoospermia).
  • Failure to comply with this post-operative protocol can and does result in unplanned, unwanted pregnancies. The Practice, its clinical director Dr. Thulasi Shanmukanathan, and its staff accept absolutely no liability for pregnancies resulting from unprotected sexual intercourse occurring prior to formal clinical clearance.

3. Booking, Deposit, and Cancellation Policies

To maintain our high standard of specialized care, minimize patient wait times, and manage clinical scheduling efficiently, the Practice enforces a strict Booking, Deposit, and Cancellation Policy. By initiating a booking request online or via telephone, you agree to these commercial terms in full.

3.1 Consultation and Procedure Structure

We offer two pathways for our patients:

  1. Consultation Only: A private, face-to-face consultation, clinical history review, and physical examination with Dr. Thulasi Shanmukanathan.
  2. Same-Day Consultation and Procedure: A combined, streamlined visit where your diagnostic consultation, physical examination, and physical no-needle, no-scalpel vasectomy procedure are completed consecutively within a single, unified appointment slot.

3.2 Appointment Booking Deposit

To secure and confirm any appointment slot (either Consultation Only or Same-Day Consultation and Procedure) on our schedule, you must pay a refundable deposit of $50.00 at the time of booking. This deposit is processed securely via electronic credit card payment through our authorized payment gateway.

  • The $50.00 deposit is applied directly toward your outstanding balance for services rendered on the day of your appointment.
  • If you are booking a “Consultation Only” and subsequently choose not to proceed with the vasectomy procedure, the $50.00 deposit is applied to cover the clinical time and evaluation provided by Dr. Thulasi Shanmukanathan during that consultation.

3.3 Cancellation and Rescheduling Window

If you need to cancel your appointment or reschedule to a different date or time, you must provide the Practice with a minimum of forty-eight (48) hours advance notice prior to your scheduled appointment time.

Notice must be provided by speaking directly with a representative of our practice over the phone during normal business hours, or by sending a timestamped email to shanvasectomy@gmail.com.

  • Timely Cancellations: If you cancel your appointment with more than 48 hours notice, your $50.00 deposit will be refunded in full to your original payment method.
  • Late Cancellations and No-Shows: If you cancel your appointment with less than 48 hours notice, or if you fail to show up for your scheduled appointment, the $50.00 deposit is forfeited in full as liquidated damages to compensate the Practice for the reserved clinical time, loss of booking availability for other patients, and administrative overhead. This forfeiture is non-negotiable.

3.4 Anatomical Ineligibility and Refund Policy

In rare, isolated clinical instances, when a patient books a Same-Day Consultation and Procedure, Dr. Thulasi Shanmukanathan may determine during the physical examination that the patient is anatomically unsuitable or clinically ineligible for an office-based, no-scalpel vasectomy under local anesthesia. This can occur due to conditions such as severe scarring, undescended testicles, active local infections, massive hydroceles, or severe inguinal hernias that require a formal, hospital-based operating room environment under general anesthesia.

If Dr. Thulasi Shanmukanathan determines that you are clinically ineligible to safely undergo the procedure in our office, your physical procedure will not be performed. In such cases:

  • You will still be responsible for the professional consultation and physical examination clinical fee of $50.00 (which will be satisfied by your booking deposit).
  • You will not be charged the remaining balance of the surgical fee.
  • You will receive a formal referral to an appropriate hospital-based urological specialist if desired.

4. Fees, Financial Policies, and Insurance Disclaimers

4.1 All-Inclusive Flat Fee Structure

The Practice operates primarily on an transparent, predictable, all-inclusive pricing structure designed to protect patients from unexpected hospital facility fees, separate anesthesiology bills, or surprise laboratory invoicing.

Our current all-inclusive fee for self-pay patients is $600.00 USD. This comprehensive fee covers:

  • The initial physical diagnostic consultation and physical anatomical assessment on the day of the procedure.
  • The physical performance of the office-based, no-needle, no-scalpel vasectomy procedure by Dr. Thulasi Shanmukanathan.
  • All local anesthetic agents (including the MadaJet pressure delivery consumables), surgical supplies, and immediate post-operative wound care supplies used during your office visit.
  • Standard telephone or email post-operative clinical follow-up support directly related to your recovery.
  • One (1) post-operative semen analysis completed by our designated laboratory partners at or after twelve (12) weeks post-procedure.

4.2 Non-Inclusion of External Complications

The all-inclusive fee of $600.00 does not cover external medical services, including but not limited to:

  • Emergency department visits, hospital admissions, or external urgent care clinic visits arising from rare, unexpected post-operative complications (such as hematomas, deep wound infections, or severe localized bleeding).
  • Prescription medications filled at commercial pharmacies (such as prophylactic antibiotics, prescription pain relievers, or specialized anti-inflammatory medications).
  • Additional semen analyses beyond the single included test, should they be clinically required due to persistent sperm presence or indeterminate laboratory results.

4.3 Insurance Reimbursement and Out-of-Network Disclaimer

PLEASE TAKE NOTE: Shan Vasectomy operates as a fee-for-service specialty clinic. We may not participate with, or be in-network for, your specific commercial health insurance plan, managed care network, or employer-sponsored healthcare program.

  • Payment Due at Time of Service: You are solely, personally, and fully responsible for the payment of the $600.00 fee at the time clinical services are rendered, regardless of your insurance coverage status.
  • Superbill Provision: Upon request, we will gladly provide you with an itemized medical receipt (commonly referred to as a “Superbill”) containing standard ICD-10 diagnostic codes and CPT procedural codes. You may submit this Superbill directly to your insurance company to seek direct reimbursement or apply the cost to your out-of-network deductible.
  • No Guarantee of Reimbursement: The Practice makes absolutely no representations, warranties, or guarantees that your insurance provider will reimburse you for any portion of our fees. Insurance coverage policies vary widely, and it is your sole responsibility to contact your insurance carrier directly, prior to booking, to verify your out-of-network benefits, pre-authorization requirements, and reimbursement eligibility for CPT code 55250 (Vasectomy, unilateral or bilateral, including post-operative semen examination).
  • Medicaid and Medicare Notice: Our services may not be covered by government-sponsored healthcare programs such as Medicare or Medicaid. If you are a Medicare or Medicaid beneficiary, you must notify our office prior to booking so we can determine if we have the legal and administrative capacity to accept you under specialized private contract rules.

5. Electronic Communications, Security, and Privacy

5.1 Vulnerability of Standard Digital Communications

By utilizing the contact forms, booking widgets, and general email addresses (shanvasectomy@gmail.com) provided on this Site, you explicitly acknowledge and understand that standard internet-based email and digital web forms are not fully secure, encrypted, or protected from potential interception, hacking, or unauthorized viewing by third parties.

6. Use of Website Content and Intellectual Property Rights

6.1 Ownership of Site Content

8.3 Maximum Cap on Liability

In any jurisdiction where the absolute exclusion of implied warranties or consequential damages is legally prohibited, our total collective liability to you for any claim, dispute, cause of action, or lawsuit arising out of or relating to your use of this Site (whether under these Terms of Use or otherwise) shall be strictly capped and limited to $50.00 USD (the amount of your initial booking deposit).

Indemnification Agreement

You agree to fully defend, indemnify, hold harmless, and release Thulasi Shanmukanathan, M.D., PLLC (doing business as Shan Vasectomy), Dr. Thulasi Shanmukanathan personally, and our members, officers, employees, clinical staff, and agents from and against any and all civil claims, demands, liabilities, lawsuits, judgments, losses, damages, costs, and expenses (including reasonable attorneys’ fees and administrative court costs) arising directly or indirectly out of, or in any way connected to:

  • Your physical or digital access to, or misuse of, this Site, its contact forms, booking features, or informational content.
  • Your violation of any provision, covenant, or warranty contained within this Agreement.
  • Your violation of any third-party intellectual property, privacy, or publicity rights.
  • Your failure to follow formal post-operative clinic instructions (specifically including the mandatory requirement to use alternative contraception until formal post-procedural semen analysis and written clearance are completed).

Mandatory Arbitration, Dispute Resolution, and Class Action Waiver

PLEASE READ THIS SECTION CAREFULLY. IT LIMITS YOUR CONSTITUTIONAL RIGHT TO BRING A LAWSUIT IN A COURT OF LAW, HAVE A TRIAL BY JURY, AND PARTICIPIPATE IN A CLASS ACTION LAWSUIT.

10.1 Obligation for Amicable Direct Mediation

In the event of any legal dispute, controversy, claim, or difference of opinion arising out of or relating to your use of this Site, your interactions with our booking system, your financial transactions with the Practice, or the interpretation of these Terms of Use (each, a “Dispute”), both parties agree to first attempt to resolve the Dispute through good-faith, informal negotiations.

  • You must initiate this process by sending a formal, written “Notice of Dispute” detailing the facts, circumstances, and requested relief via Certified Mail to our administrative office address at 26711 Woodward Avenue, Suite LLB, Huntington Woods, MI 48070.
  • The Practice will have thirty (30) business days from the date of receipt to respond in writing, and both parties shall make reasonable, good-faith efforts to meet physically or via secure teleconference to resolve the matter amicably before taking any further legal action.

10.2 Binding Individual Arbitration

If the Dispute cannot be resolved through informal negotiations within forty-five (45) business days of our receipt of your Notice of Dispute, you and the Practice agree that the Dispute shall be resolved solely and exclusively through binding, individual, non-class arbitration.

  • Governing Body: The arbitration shall be administered by the American Arbitration Association (“AAA”) in accordance with its Commercial Arbitration Rules and Mediation Procedures then in effect.
  • Location of Arbitration: The physical arbitration proceedings shall take place in Oakland County, Michigan, unless both parties mutually agree in writing to a different location or consent to virtual, remote online proceedings.
  • Arbitrator’s Authority: The arbitrator’s written decision and award shall be final, binding, and non-appealable, and judgment upon the award rendered by the arbitrator may be entered in any court having competent jurisdiction.
  • Allocation of Costs: Each party shall bear its own legal fees, expenses, and costs associated with the arbitration, and the AAA administrative fees and arbitrator compensation shall be shared equally by both parties, subject to the arbitrator’s authority to award fees to the prevailing party as permitted by law.

10.3 Exclusion of Medical Malpractice Claims

PLEASE NOTE: This mandatory arbitration clause does not govern, apply to, or restrict any clinical claims of medical malpractice, professional negligence, personal injury, or wrongful death arising directly from the physical performance of the vasectomy procedure or direct medical treatment rendered by Dr. Thulasi Shanmukanathan in our physical clinic.

Clinical malpractice disputes are governed exclusively by separate clinical arbitration agreements, state medical liability laws, and the jurisdiction of the courts of the State of Michigan, as outlined in our physical clinical intake packet.

10.4 Class Action Waiver and Jury Trial Waiver

YOU AND THE PRACTICE EXPLICITLY AGREE THAT EACH PARTY MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF, REPRESENTATIVE, OR CLASS MEMBER IN ANY PURPORTED CLASS, REPRESENTATIVE, OR JOINT ACTION.

Unless both parties agree otherwise in writing, the arbitrator may not consolidate more than one person’s claims, and may not otherwise preside over any form of a representative or class proceeding.

Furthermore, you and the Practice explicitly waive any and all constitutional or statutory rights to a trial by jury in any court of law regarding any Dispute governed by this Agreement.

Governing Law, Venue, and Jurisdictional Issues

This Site, the Practice, and its clinical services are physically established and operated entirely within the State of Michigan.

These Terms of Use, your digital interactions with this Site, and any administrative Disputes arising hereunder shall be governed by, construed, and enforced in accordance with the laws of the State of Michigan, without regard to its conflict of law principles or choice of law rules.

For any Dispute that is legally excluded from binding arbitration under Section 10.3 (or in the event that the arbitration clause is found by a court of competent jurisdiction to be unenforceable), you and the Practice explicitly agree that exclusive personal jurisdiction and physical venue for all such legal proceedings shall rest solely in:

  • The Oakland County Circuit Court (6th Judicial Circuit Court of Michigan) located in Pontiac, Michigan.
  • The 45th District Court of Michigan located in Oak Park, Michigan (for small claims or lower-jurisdiction matters).
  • The United States District Court for the Eastern District of Michigan (Southern Division) located in Detroit, Michigan (if federal diversity or subject-matter jurisdiction is established).

You hereby explicitly waive any objections to the personal jurisdiction and venue of these Michigan courts, including any claims of forum non conveniens (inconvenient forum).

Severability, Integration, and Non-Waiver

12.1 Severability of Provisions

If any provision, paragraph, sentence, or clause of these Terms of Use is determined by an arbitrator, administrative agency, or court of competent jurisdiction to be unlawful, void, invalid, or for any reason unenforceable, that specific provision shall be deemed severable from this Agreement and shall be modified or narrowed to the minimum extent necessary to make it valid and enforceable.

Such a determination shall have absolutely no effect on the validity, legality, and enforceability of all remaining provisions, which shall remain in full force and effect.

12.2 Integration and Entire Agreement

These Terms of Use, along with any booking confirmation notices, deposit agreements, and privacy policies published on this Site, constitute the entire, integrated, and exclusive agreement between you and the Practice concerning your use of this Site and its online services.

This Agreement supersedes all prior or contemporaneous communications, representations, advertisements, blog posts, or verbal statements made by our staff or representatives.

12.3 No Waiver of Rights

Our failure to enforce or strictly insist upon your compliance with any provision of these Terms of Use, or our failure to exercise any right or remedy under this Agreement, shall not be construed or interpreted as a waiver, abandonment, or relinquishment of our right to assert, enforce, or rely upon any such provision, right, or remedy in any future instance. Any waiver of our rights must be executed in writing and signed by an authorized representative of Thulasi Shanmukanathan, M.D., PLLC.

Modifications to Site, Fees, and Terms of Use
